The Competition Commission of Pakistan (CCP) has approved the acquisition of a majority stake in M/s. Euro Gas (Private) Limited by M/s. BBE D Pte. Limited.
BBE D Pte. Limited, a Singapore-based investment holding company, is a wholly owned subsidiary of BB Energy Group Holding Limited, a global energy trading firm. Under a Share Purchase and Share Subscription Agreement, it will secure majority ownership in Euro Gas (Private) Limited.
Euro Gas, incorporated in Pakistan in 2022, has not yet begun commercial operations. The company plans to enter the liquefied natural gas (LNG) sector once regulatory approvals are granted. Following the acquisition, the sellers will continue to hold a minority share in the company.
The CCP carried out a detailed review of the transaction and found that it does not raise competition concerns. Since Euro Gas has not started operating in the market, the deal is not expected to create or strengthen a dominant position in LNG import and distribution.
Officials noted that Euro Gas’s future entry into the LNG sector could boost competition and diversify supply in a market largely controlled by state-owned entities. This could help increase efficiency and provide more choices for consumers in the energy sector.
The CCP concluded that the proposed acquisition is unlikely to substantially reduce competition in the relevant market. Instead, it may contribute to improved energy trade and investment opportunities in Pakistan.
Industry experts believe the move highlights growing investor interest in Pakistan’s energy sector. The transaction could encourage further international investment, especially in LNG, where demand continues to rise.
